The Fund requires Short Message Service (“SMS”)-based two-factor authentication (“2FA”) for login access to the registered-users-only areas of its website. Therefore, in order to access the registered-user-only areas of the Fund’s website, you will need to register and maintain a password, an email address, and an SMS-enabled phone number. You acknowledge that the use of a password, email address, and SMS-based 2FA is an adequate form of security. You are responsible for: (a) monitoring, controlling access to, and maintaining the strict confidentiality of your password and any one-time SMS code you receive for a login event (“SMS code”); (b) not allowing another person to use your password or SMS code; (c) any charges or damages that may be incurred as a result of your neglect to maintain the strict confidentiality of your password or SMS code; and (d) promptly informing the Fund in writing of any need to deactivate a password or SMS code due to any security concern. Further, you agree to indemnify the Fund for any loss or damages that the Fund may incur as a result of any failure by you to meet these responsibilities. If you share your password or SMS code with someone else, you agree that you will be strictly liable for any loss or damages that may be incurred as a result of such use, and you agree to indemnify the Fund for any loss or damages that the Fund may incur as a result of you sharing your password or SMS code.

You also agree that the Fund is not liable for: (a) any harm related to the theft of your password or SMS code; (b) the use of your password or SMS code to access or use the Fund’s website and any harm related to such use; (c) the disclosure of your password or your SMS code; or (d) your authorization to allow another person or entity to access and use the Fund’s website using your password or SMS code and any harm related to such authorization and use. You agree to, and shall immediately notify, the Fund of any unauthorized use of your password or SMS code and/or any breach of confidentiality; until the Fund receives this notification from you, you will be held liable for any harm ensuing from the use of your password or SMS code on the Fund’s website.
